Considering that WinAVI is shareware, you should take a look at

XMPEG is a open source converter built on MPEG1/MPEG2/AC3 high quality decoders. It exports video and audio frames through an Adobe Premiere compatible interface.

The basic video editing funtionalities use the best algorythms to preserve the maximum quality (HQ Bicubic 0, 0.75). In addition, it supports with AVIWriter the latest encoding format (H264 and AAC, DivX6.4).

The plugins furnished in this package allow you to create your own DivX, MPEG4 part 10 (H264)/part 2, DVD, SVCD with the optimum output quality. XMPEG is a reference in offline encoding tool world.

I've used it to convert VOB to XviD and it worked well. Plus it is freeware. If you add the XviD-SMP build on a dual-core system it should speed up your time converting.
